License Agreement for SNAPP™ Express©
The SNAPP™ Express© Template (Template) is provided to users under
non-exclusive license. This license agreement defines the ways in which you can
use the Template. Please read this agreement as carefully as you would read any
other legal document.
Biagi Management Group, LLC Corporation retains the right to refuse any of the Licenses
to anyone.
This description is intended to help you understand what this license allows
you to do. If you have any questions, please contact us
by telephone or email.
There are three different types of license available for the SNAPP™ Express© Template:

To allow a single user, such as a consultant, to use the SNAPP™ Express© Template. |

To allow a Single User License holder to share the SNAPP™ Express© Template with an entire organization. |

For people who want to use the SNAPP™ Express© Template in any commercial or for-sale endeavor. |
Single User License Agreement
This license comes with the SNAPP™ Express© Template, and reads as follows:
1. Use of SNAPP™ Express© Template:
You may install the Template on your computer in such a way as is convenient for
your own personal or professional use, but not for the use of friends, clients,
customers, or co-workers.
You may use the Template for your own not-for-sale printed communication
(e.g., project plans, agendas, proposals). The SNAPP™ Express© Template must
not be the primary value or purpose of the document.
You may make one back-up copy of the Template, provided your back-up copy is
not installed or used on any computer and is not distributed to any other
person.
2. Distribution of SNAPP Express Template:
You may use the Template for your own use only. If you plan to use the Template
on a project, the electronic files of which you plan to share with clients
and/or co-workers, you must purchase a Site License to permit distribution to
your client and/or co-workers.
You may not distribute the Template in any format by posting it on your web site
for the purpose of downloading by other people.
You may not train others to use the Template. Training on SNAPP™ Express© is
the exclusive right of Biagi Management Group, LLC.
If the Template is incorporated into a publication or document which will be
distributed or sold, the source of the Template must be acknowledged. The
source is: © 2000 Biagi Management Group, LLC.
If the publication or document is sold, it is subject to a Commercial Use
License.
3. Copying the Template:
With respect to the Template, you may NOT:
- Use or copy the Template, or any part thereof, except as permitted by this
Agreement.
- Use or permit the use of the Template in association with fraudulent,
pornographic, defamatory or illegal material.
- Use or permit the use of the Template, or any part thereof, as a trademark or
service mark, or claim any proprietary rights of any sort.
4. Proprietary Rights:
SNAPP™ Express© and the SNAPP™ Express© Template, in whole or in part, are owned
by Biagi Management Group, LLC, and are protected by all copyright laws with all rights
reserved. All intellectual property rights therein are and remain the property
of Its' the How, LLC.
5. Transfer:
You may not sell, rent, lease, sublicense or lend the SNAPP™ Express© Template
or any part thereof. You may not transfer your rights to use the Template to
another person or legal entity.
6. Term:
You will pay by the year for the right to use the Template. You will pay in
advance. Each year begins on the date that payment is accepted. Expiration is
the yearly anniversary of the payment date.
7. Limitations:
In no event will Biagi Management Group, LLC be liable to you for any consequential,
incidental or special damages, including any lost profits or lost savings or for
any claim by any third party.
9. Miscellaneous:
This license constitutes the entire agreement between you and Biagi Management Group, LLC
and supersedes all prior understandings. Should any of the provisions of this
license be found unenforceable by a court of competent jurisdiction, the
remaining provisions shall nonetheless remain in full force and effect. This
license agreement shall be governed by, and construed in accordance with, the
laws of the State of Texas.
10. Arbitration:
Any and all controversies, claims and disputes relating to this Agreement shall
be settled by arbitration administered by the American Arbitration Association
under its Commercial Arbitration Rules, and judgment on the award rendered by
the arbitrator(s) may be entered in any court having jurisdiction thereof. The
arbitration shall be held in Dallas, Texas, USA, and the arbitrator shall apply
Texas law.
Site License
The Site License is an extension of the Single User License. A Site License allows the Single User License holder to share the SNAPP™ Express© Template in a work group. It does not include all SNAPP™ products and programs.
The Site License reads as follows:
1. Use of SNAPP Express Template
You may install the Template on the hard disk or other storage devices
of the company-owned computers according to the pricing schedule, which
is based on the number of employees in your company (see
Pricing Schedule). Users may use the Template over a network, provided
the number of different users accessing the Template does not exceed the
number of users for which you have agreed. You may make a back-up copy
of the Template, provided your back-up copy is not installed or used on
any computer and is not distributed outside the company.
Each licensed user may use the Template in their own not-for-sale communications
(e.g., project planning, agendas, proposals, contracts and presentations). Use
of the Template must not be the primary value or purpose of the communication.
For example, one may incorporate application of the SNAPP™ Express© Template in
a project planning document, but one may not use it in a communication where the
Template represents the primary value (e.g., a gift to a client).
Each licensed user may use the Template in his/her own electronic and/or
multimedia communication (e.g., presentations, training programs, contracts).
The Template must not be the primary value or purpose of the communication. For
example, one may incorporate the SNAPP™ Express© Template in a project proposal,
but one may not use the Template in an application where the Template represents
the primary value (e.g., transmitting the file to a client for the client's
use).
Each licensed user may use the Template for their own professional and personal
use and only in not-for-sale applications.
All users of the Site License must be made aware of the terms of usage of this
Agreement and must agree to be bound by them. The Single User who enters into
the Agreement will be held accountable.
2. Distribution of SNAPP™ Express© Template:
Each licensed user may use the Template for their own use only. If one plans to
use it in work they do on behalf of a client (e.g. developing training materials
or aids, etc.) users will need to purchase an additional Site License for the
client.
Each licensed user may use the Template in presentations, the electronic files
of which may be shared only with other co-workers or clients covered by this
license.
The Template may not be distributed in any format by posting it on a web site
for the purpose of downloading by people not covered by the Site License.
If the Template is incorporated into a publication or document which will be
distributed or sold, the source of the Template must be acknowledged. The
source is: © 2000 Biagi Management Group, LLC.
If the publication or document is sold, it is subject to a Commercial Use
License.

With respect to the Template, each licensed user may NOT:

property of Biagi Management Group, LLC Corporation.

thereof. You may not transfer the rights granted in this site license to
another person, group, or legal entity.
6. Term:
You will pay by the year for the right to use the Template. You will pay in
advance. Each year begins on the date that payment is accepted. Expiration is
the yearly anniversary of the payment date.
Your rights here under shall continue until any licensed user fails to comply
with any of the terms and conditions of this license.
7. Limitations:
In no event will Biagi Management Group, LLC be liable to you for any consequential,
incidental or special damages, including any lost profits or lost savings or for
any claim by any third party.
8. Miscellaneous:
This license constitutes the entire agreement between you and Biagi Management Group, LLC
and supersedes all prior understandings. Should any of the provisions of this

Commercial Use License
If you use the SNAPP™ Express© Template (Template) as part of a commercial
(for sale) work, you must purchase a Commercial Use License in addition to either the
Single User License or the Site License above.
In addition to the terms stated above, this license:
- Allows inclusion of the Template in publications for resale only if the Template is not the primary value or purpose of the production (e.g., the Template may be used to format a project application, but it may not be included as a blank worksheet in a document).
- Requires that Biagi Management Group, LLC be referenced as the source of SNAPP™ Express© within the work.
- Prohibits any instruction about the use of SNAPP™ Express©.
Commercial Use Licenses are granted and priced based on the number of copies of
commercial work that are distributed. "Copies" is defined as the number of commercial
works (e.g., copies of booklets) you plan to distribute per printing. Commercial use
licenses are valid for the life of that printing or version.

Example: XYZ company plans to use the SNAPP™ Express© Template in its new
Business Practices book. XYZ plans to use the Template three times representing
three different applications. The print run for the first printing is 300 copies.
The Commercial Use License would cost $200.00 for that year.
